IMPORTANT NOTICE:
This is a preview of the Elite Coaching Agreement that outlines the terms and conditions of our coaching partnership. After you complete enrollment, you will receive a personalized agreement via DocuSign within 1 hour that includes your name, selected package details, and program start date for your official signature.
The personalized agreement must be signed before your first coaching session.
ELITE COACHING AGREEMENT
Between: Uncomon Resilience LLC ("Coach")
And: The Client ("Client")
Effective Date: Date of DocuSign signature
1. COACHING SERVICES
1.1 Package Selected
The Client is enrolled in one of the following Elite Coaching packages:
- 3-Month Intensive (6 bi-weekly sessions over 12 weeks)
- 6-Month Transformation (12 bi-weekly sessions over 24 weeks)
- 12-Month Partnership (24+ sessions over 52 weeks)
Specific package details, session frequency, and program timeline are confirmed in the Client's enrollment.
1.2 Services Included
Coach agrees to provide the following services as specified in the Client's selected package:
All Packages Include:
- One-on-one coaching sessions (60-90 minutes each, conducted via video conference)
- Unlimited email/messaging support between sessions for strategic guidance
- Comprehensive relationship intelligence assessments
- Customized development plan using the 4C Framework
- Strategic preparation for high-stakes meetings and stakeholder interactions
- Access to The Vault digital resource library
- Post-program support period (duration varies by package)
Additional Services (Package-Dependent):
- Stakeholder interviews for 360-degree feedback
- Political landscape mapping and organizational navigation strategy
- Mid-point or quarterly progress reviews
- Board preparation and executive team dynamics consultation
- Crisis intervention support for urgent situations
- Extended resource access and community membership
1.3 Session Scheduling
- Coaching sessions are scheduled by mutual agreement between Coach and Client
- Sessions are conducted via video conference (Zoom or alternative platform)
- First session is typically scheduled during or immediately following the discovery call
- Subsequent sessions follow the cadence specified in the selected package (bi-weekly or weekly)
2. CLIENT RESPONSIBILITIES
2.1 Active Participation
Client agrees to:
- Attend all scheduled coaching sessions prepared and ready to engage
- Complete assessments and assigned work between sessions
- Implement strategies discussed during coaching sessions
- Provide honest feedback about progress and challenges
- Communicate openly about what is and is not working
2.2 Session Attendance
- Client is responsible for attending scheduled sessions at agreed-upon times
- Client will make reasonable efforts to minimize cancellations and rescheduling
- Chronic cancellation or failure to attend may result in program termination
2.3 Between-Session Engagement
- Client will respond to Coach's emails and messages in a timely manner
- Client will utilize unlimited messaging access appropriately (for strategic guidance, not administrative matters)
- Client will complete assessments and preparation materials as requested
3. PAYMENT TERMS
3.1 Investment
The total investment for the selected Elite Coaching package is confirmed at time of enrollment and specified in the purchase confirmation.
Payment options vary by package:
- 3-Month Intensive: Paid in full at enrollment
- 6-Month Transformation: Paid in full OR payment plan (3 or 6 monthly installments)
- 12-Month Partnership: Paid in full OR payment plan (6 or 12 monthly installments)
3.2 Payment Processing
- All payments are processed securely through Kajabi
- Payment plans are charged automatically on the same date each month
- Client is responsible for ensuring payment method on file remains current and valid
3.3 Failed Payments
- If a scheduled payment fails, Client will be notified via email
- Coaching sessions will be paused until payment is current
- Client has 7 days to update payment method and process failed payment
- After 7 days, program may be terminated and access to materials revoked
3.4 Outstanding Balances
- Any outstanding balance from payment plan installments remains due even if Client discontinues coaching
- Coach reserves the right to pursue collection of outstanding balances
4. SCHEDULING POLICIES
4.1 Cancellation Policy
- 24-Hour Notice Required: Client must provide at least 24 hours advance notice to cancel or reschedule a session
- Less Than 24 Hours: Sessions cancelled with less than 24 hours notice are considered "late cancellations"
- No-Show Policy: Failure to attend a scheduled session without prior notice is considered a "no-show"
4.2 Late Cancellations and No-Shows
- First Occurrence: Session can be rescheduled at no penalty
- Second Occurrence: Client receives a warning
- Third Occurrence: Session is forfeited (not reschedulable) and counts toward total package sessions
- Pattern of Late Cancellations: May result in program termination at Coach's discretion
4.3 Rescheduling
- Sessions can be rescheduled with 24+ hours notice at no penalty
- Client and Coach will work together to find mutually convenient alternative times
- Rescheduled sessions must be completed within the program timeline (or reasonable extension)
4.4 Coach Cancellations
- If Coach must cancel a session, Client will receive full credit and session will be rescheduled
- Coach will provide as much advance notice as possible
- In rare emergencies, Coach will reschedule as quickly as possible
4.5 Pauses and Extensions
- Program may be paused for brief periods (e.g., vacation, major deadline) by mutual agreement
- Extended pauses (more than 3 weeks) require written agreement and timeline adjustment
- Program completion deadline may be extended by mutual written agreement
5. CONFIDENTIALITY
5.1 Coach Confidentiality
What Coach Will Keep Confidential:
- All information discussed in coaching sessions
- Client's identity as a coaching client (unless Client grants permission)
- Content of emails, messages, and other communications
- Assessment results and stakeholder interview feedback
- Client's goals, challenges, and personal/professional circumstances
Exceptions (Required Disclosures):
- If Coach becomes aware of imminent danger to Client or others
- If required by law or court order
- If Client provides written authorization for specific disclosure
5.2 Client Confidentiality
Client agrees to maintain confidentiality regarding:
- Coach's proprietary frameworks, methodologies, and materials (4C Framework, Dยณ Power Framework, 5 Disciplines)
- Coaching techniques and approaches shared during sessions
- Any materials marked as confidential or proprietary
5.3 Stakeholder Interviews (6-Month and 12-Month Packages)
- Coach will conduct confidential interviews with Client's designated stakeholders
- Interview content will be summarized and shared with Client without attribution (unless stakeholder grants permission)
- Stakeholder identities and specific comments remain confidential
- Coach will not disclose to stakeholders that Client is in coaching unless Client authorizes
5.4 Testimonials and Case Studies
- Coach may not use Client's name, company, or identifying information in testimonials or marketing materials without Client's written permission
- If Client agrees to provide testimonial, Client retains right to review and approve before publication
- Client may request anonymity or use of title/industry only
6. REFUND AND CANCELLATION POLICY
6.1 Refund Eligibility
BEFORE First Coaching Session:
- Full refund available if Client cancels before first official coaching session
- Client must notify Coach in writing via email
- Refund processed within 14 business days
AFTER First Coaching Session:
- No refund for paid-in-full packages after first session has occurred
- Payment plan clients may cancel with pro-rated refund of unused sessions
6.2 Pro-Rated Refund Calculation (Payment Plans Only)
For 6-Month and 12-Month packages on payment plans:
Formula:
Refund Amount = (Total Investment) - (Assessment Fee) - (Completed Sessions ร Per-Session Rate) - (Installments Already Paid)
Where:
- Assessment Fee = $500 (one-time, non-refundable)
- Per-Session Rate = Total Investment รท Number of Sessions in Package
- Completed Sessions = Number of sessions that have occurred
- Installments Already Paid = Amount already processed
Example (6-Month Package - $15,000):
- Total Investment: $15,000
- Assessment Fee: $500
- Per-Session Rate: $15,000 รท 12 = $1,250 per session
- If 4 sessions completed: $15,000 - $500 - (4 ร $1,250) = $9,500 refund eligible
- Minus any installments already paid beyond sessions completed
6.3 Cancellation Process
To cancel and request refund:
- Send written notice via email to [email protected]
- Specify cancellation date and reason (optional)
- Coach will confirm receipt within 2 business days
- Refund calculation provided within 5 business days
- Refund processed within 14 business days of cancellation confirmation
6.4 Program Termination by Coach
Coach reserves the right to terminate the coaching relationship if:
- Client demonstrates pattern of disrespect, hostility, or inappropriate behavior
- Client fails to pay outstanding balances after 7-day grace period
- Client demonstrates pattern of chronic cancellations or non-attendance
- Coach determines coaching relationship is no longer beneficial or appropriate
In case of Coach-initiated termination, Client receives pro-rated refund for unused sessions (minus assessment fee and completed sessions).
7. INTELLECTUAL PROPERTY
7.1 Coach's Intellectual Property
The following remain the exclusive intellectual property of Coach:
- 4C Framework (Clarity, Courage, Confidence, Commitment)
- Dยณ Power Framework (Define Direction, Dominate Change, Defy Obstacles)
- 5 Disciplines of Relationship Intelligence
- All coaching frameworks, methodologies, and proprietary tools
- The Vault course content and materials
- Assessment tools and instruments
- All written materials, worksheets, and resources provided
7.2 License to Use
Client receives a non-exclusive, non-transferable license to:
- Use frameworks and tools for Client's own personal and professional development
- Reference frameworks in Client's own leadership practice
- Access and utilize materials provided during coaching engagement
7.3 Restrictions
Client may NOT:
- Teach, train, or coach others using Coach's proprietary frameworks
- Reproduce or distribute Coach's materials to others
- Claim ownership of or trademark Coach's frameworks
- Use Coach's materials for commercial purposes (training, consulting, etc.)
7.4 Client's Intellectual Property
- Client retains all rights to Client's own work, insights, and intellectual property
- Any materials, strategies, or plans created by Client during coaching remain Client's property
- Coach may not use Client's proprietary business information without permission
8. DISCLAIMERS AND LIMITATIONS
8.1 Coaching vs. Therapy
Elite Coaching is NOT:
- Psychotherapy, mental health counseling, or psychological treatment
- Medical advice or treatment
- Legal advice or legal representation
- Financial advice or financial planning
If Client needs:
- Mental health support, Client should consult licensed therapist or psychiatrist
- Medical guidance, Client should consult licensed physician
- Legal counsel, Client should consult licensed attorney
- Financial planning, Client should consult licensed financial advisor
8.2 No Guarantees of Results
Coach makes no guarantees, representations, or warranties regarding:
- Specific outcomes or results from coaching
- Promotions, raises, or career advancement
- Improved relationships with specific stakeholders
- Resolution of specific organizational challenges
Results depend on:
- Client's effort, commitment, and implementation
- Client's organizational context and circumstances
- Factors beyond Coach's or Client's control
- Client's willingness to change behaviors and approaches
8.3 Client Responsibility for Decisions
- Client is solely responsible for all decisions and actions taken
- Coach provides guidance, perspective, and strategic input
- Client makes final decisions about how to apply coaching insights
- Coach is not liable for outcomes of Client's decisions or actions
8.4 No Employment or Agency Relationship
- This Agreement does not create employment, partnership, or agency relationship
- Coach is an independent contractor
- Client is not Coach's employee, partner, or agent
9.ย LIABILITY LIMITATIONS
9.1 Limitation of Liability
Coach's total liability under this Agreement is limited to:
- Amount of fees paid by Client for the coaching package
- No liability for indirect, incidental, consequential, or punitive damages
Coach is NOT liable for:
- Client's career outcomes or employment decisions
- Relationship outcomes with Client's stakeholders
- Organizational consequences of Client's actions
- Lost opportunities, promotions, or compensation
- Emotional distress or reputational harm
9.2 Indemnification
Client agrees to indemnify and hold harmless Coach from:
- Any claims arising from Client's use of coaching insights or recommendations
- Any disputes between Client and Client's employer or stakeholders
- Any consequences of Client's implementation of strategies discussed in coaching
10. DISPUTE RESOLUTION
10.1 Informal Resolution
- If dispute arises, parties agree to first attempt informal resolution through direct communication
- Either party may request a mediation session to discuss concerns
10.2 Mediation
- If informal resolution fails, parties agree to mediation before pursuing legal action
- Mediation will be conducted by mutually agreed-upon mediator
- Each party bears their own mediation costs
10.3 Arbitration
- If mediation fails, disputes will be resolved through binding arbitration
- Arbitration conducted under rules of American Arbitration Association
- Arbitration location: New Jersey
- Each party bears their own arbitration costs plus half of arbitrator fees
10.4 Governing Law
- This Agreement is governed by laws of the State of New Jersey
- Venue for any legal proceedings: New Jersey courts
11. GENERAL PROVISIONS
11.1 Entire Agreement
- This Agreement constitutes the entire agreement between parties
- Supersedes any prior agreements, discussions, or understandings
- May only be modified by written amendment signed by both parties
11.2 Severability
- If any provision is found invalid or unenforceable, remainder of Agreement remains in effect
- Invalid provision will be modified to minimum extent necessary to make it valid
11.3 Waiver
- Failure to enforce any provision does not waive right to enforce it later
- Waiver of one breach does not waive right to enforce future breaches
11.4 Assignment
- Client may not assign this Agreement without Coach's written consent
- Coach may assign this Agreement with notice to Client
11.5 Notices
All notices under this Agreement must be in writing and sent to:

11.6 Force Majeure
- Neither party liable for failure to perform due to circumstances beyond reasonable control
- Includes natural disasters, pandemics, government actions, etc.
- Parties will work in good faith to reschedule or adjust timeline
11.7 Survival
The following provisions survive termination of this Agreement:
- Confidentiality obligations
- Intellectual property restrictions
- Payment obligations for services rendered
- Liability limitations
- Dispute resolution procedures
12. ELECTRONIC SIGNATURE
12.1 DocuSign Agreement
- This Agreement will be executed electronically via DocuSign
- Client will receive personalized agreement within 1 hour of enrollment
- Electronic signature has same legal effect as handwritten signature
12.2 Agreement Required
- Client must sign this Agreement before first coaching session
- Failure to sign within 7 days may result in enrollment cancellation and refund

ACKNOWLEDGMENT
By signing the personalized version of this Agreement via DocuSign, Client acknowledges that Client has:

โ Had opportunity to ask questions and seek legal counsel if desired
โ Voluntarily agreed to enter into this coaching relationship
โ Understood that coaching is not therapy, legal advice, or financial advice
โ Agreed to the payment terms, cancellation policy, and refund policy
โ Understood Coach's confidentiality obligations and limitations
โ Agreed to maintain confidentiality of Coach's intellectual property
โ Accepted responsibility for Client's own decisions and actions
